Foxit API Service Agreement

Effective as of June 30, 2025

This Foxit API Service Agreement (the “Agreement”) applies exclusively to the Foxit API Services. It shall be used in conjunction with Foxit General Terms of Service and Foxit Software Privacy Policy. This Agreement may also apply in combination with other Foxit agreements as specified on relevant product pages. In the event of any inconsistency between this Agreement and other applicable agreements within the scope of the Foxit API Services, this Agreement shall prevail.

Please read this Agreement carefully and ensure that you fully understand each provision, including those that disclaim or limit Foxit's liability and those that impose restrictions on your rights. You may choose to accept or decline the terms of this Agreement; however, unless you accept all terms of this Agreement, you are not authorized to use the Foxit API Services or any of their features. By checking "Agree," or by registering for, logging in to, activating, or otherwise using any aspect of the Foxit API Services, you indicate your full acceptance of this Agreement and agree to be bound by its terms.

1. Scope of the Agreement

1.1 This Agreement constitutes a legal agreement between you, or the entity you are acting on behalf of, and Foxit Software Inc. and its authorized affiliates (hereinafter “Foxit”), governing your use of the Foxit API products. For purposes of this Agreement, "User" or "You" refers to any individual with full legal capacity to enter into and perform this Agreement (any individual over 13 years old or allowed by applicable law to enter into a binding contract), or a legal entity or authorized representative thereof.

1.2 “Services” under this Agreement refer to the Foxit API products and related services, including but not limited to Foxit PDF Embed API, Foxit PDF Services API, and Foxit PDF Low-Code Platform. The Foxit API products include but are not limited to:

2. License Grant and Limitations

2.1 Subject to your full compliance with this Agreement and all applicable terms, Foxit grants you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to use Foxit API products for software development purposes. This license allows you to distribute the Foxit API products in object code form as part of your developed software.

2.2 Except as expressly permitted under this Agreement, you may not:

2.4 Any confidential information You become aware of during the course of this Agreement including but not limited to, technical information, trade secrets, documentation, drawings, source code, algorithms, formulas, designs, ideas, test results, specifications, and intellectual property, must be kept strictly confidential and may not be disclosed, duplicated, or misappropriated in any manner.

2.5 Foxit reserves the right to modify, update, or terminate Foxit API Services at any time. Foxit undertakes to provide prior notice to you, subject to applicable laws and obligations. Your continued use of the services following any such update or modification constitutes your acceptance. Upon release of any updates or modifications, you should transition to the latest version of the services in a timely manner.

2.6 Foxit may, based on actual operational needs, adjust the service content, delivery method, pricing, or charging model. Before implementing such changes, Foxit will fulfill its notice obligations in accordance with applicable laws and regulations. If you have questions regarding such changes, please contact Foxit as instructed in this Agreement.

2.7 All copyrights, trademark rights, patent rights, trade secrets, and other intellectual property rights associated with Foxit API Services and related content, including, but not limited to, text, graphics, icons, interface design, layout, data, printed or digital materials, are protected under copyright laws and other applicable laws/regulations, and these rights are vested in Foxit and/or its licensors.

2.8 Foxit API Services may store documents uploaded by you or your end users to enable related functionalities (e.g., workflow components in the Foxit PDF Low-Code Platform). Documents uploaded for such purposes will be deleted within 30 days, subject to further instructions on the product page. If you offer these functionalities to end users, you are responsible for informing them of the document storage process.

3. Warranty Disclaimer and Limitation of Liability

3.1 Foxit API Services are provided "as is" based on current technologies and available conditions. While Foxit strives to ensure the continuity and security of the services, it cannot foresee or prevent all legal, technical, or other risks. To the extent permitted by law, Foxit disclaims liability for service interruptions, data loss, or other damage caused by force majeure, viruses, hacking, system instability, third-party service defects, government actions, or similar risks.

3.2 You acknowledge and agree that it is your responsibility to follow usage guidelines, product documentation, and interface instructions. Foxit bears no liability for disputes or losses resulting from your failure to comply. To the extent permitted by law, Foxit makes no warranties regarding the services’ availability, usability, security, or fitness for your needs. Foxit shall not be liable for any direct or indirect losses, including damage to devices, software, or data, or loss of information, regardless of the cause.

3.3 Foxit’s liability is limited to direct damages. For trial services, Foxit's total liability arising from or related to the services shall be capped at USD 500; for paid services, it shall not exceed the lesser of (a) USD 1,000 or (b) the total amount You paid for Foxit API Services in the 12 months preceding the event giving rise to the claim.

4. Termination and Effect

4.1 You may terminate your use of Foxit API Services at any time. However, termination does not exempt you from fulfilling any obligations incurred prior to termination, including outstanding payments, nor does it entitle you to any refund.

4.2 Subject to applicable laws, Foxit may terminate this Agreement for any reason upon 10 business days’ written notice.

5.1 Foxit reserves the right to modify the terms of this Agreement in response to legal or operational requirements. The updated Agreement becomes effective upon publication and supersedes previous versions. The latest version is available at: https://www.foxit.com/product/terms-of-service.html. You are responsible for regularly reviewing the most current version.

5.2 Foxit may, for certain services, enter into a separate offline agreement with you (the name and terms of which shall be as agreed by both parties). Such an agreement shall form an integral part of this Agreement. In the event of any inconsistency between these agreements, the offline agreement shall prevail unless otherwise specified.
